Abstaining from Voting at a Board Meeting

In most countries, abstaining from voting at a Board meeting is not regarded as dissent. Dissent must be properly and appropriately expressed.


Independent advice should be sought by a dissenting party on whether the reasons for dissent should be advised in writing to shareholders and/or stakeholders. Also, the contents of such communication should be agreed with the Board where possible.
