The long-held view that shareholders of a company are not required to give reasons when removing a director pursuant to Sec 71(1) & 71(2) of the South African Companies Act has now been confirmed by the Gauteng Local Division of the High Court.
However, a contrary decision still prevails in the Western Cape Division of the High Court.
