It is in the air until the SCA rules definitively on the topic, but for now in Johannesburg a share buy-back in terms of Sec 48(8)(b) of the South African Companies Act, while not a Scheme of Arrangement per se, nevertheless brings into play sections 114 & 115 of the Act, including section 115(8) which deals with “Appraisal Rights”.
