Shareholder’s Agreement (SHA)

Whether or not an independent valuer’s valuation is said to be final and binding in the shareholder’s agreement (SHA), it is a good idea when instructing him to remind him that, unless the SHA says otherwise, he will be functus officio once his valuation is made and that he cannot thereafter amend it without the agreement of the parties to the SHA.
